Ogier Guernsey act in acquisition of RBS International Securities Services by BNP Paribas

BNP Paribas has agreed to acquire RBS International Securities Services (Holdings) Limited, a 70:30 joint venture between The Royal Bank of Scotland International and The Bank of New York.

RBS International Securities Services provides securities related services in Guernsey, Jersey, and the Isle of Man as well as global custody services, fund administration and corporate trustee services to fund managers and to managers of private wealth clients. It holds in excess of £30 billion of assets under custody and £6.2 billion of assets under administration.

Marcus Leese led the Ogier team that acted as Guernsey Legal adviser to RBSI in conjunction with Macfarlanes. He said: “In addition to the corporate law issues arising in this matter, there were complex regulatory issues involving multiple regulatory laws, in multiple jurisdictions, for multiple entities.”
