Evolution of Offshore Funds - Adapting to a Changing Environment
With the continuing challenges posed by the economic conditions and the myriad of regulatory and tax raising initiatives being advocated by different national and international agencies, offshore funds are having to adapt to survive.

Each seminar session will begin with registration at 4:00 pm and will be followed by a cocktail reception.
Structuring and drafting changes
Last year the focus was on providing for side pockets, gates and appropriate measures to regulate suspensions and redemption payments. In addition to the refinement of these levers in the fund constitutional documents, there has recently been important new case law that impacts on redemption in kind language and suspension of redemption payments. We will discuss our suggested drafting amendments in the light of these decisions. We will also look at variations in offshore structures being utilised by investors and managers.
Claims against insolvent funds
Litigation is on the rise as restructurings turn to insolvencies. We will be discussing some of the key issues, such as:
- NAV restatements and clawbacks
- Claims against service providers
- Shareholders status as creditors and/or members
- Recent changes in the insolvency regime for Cayman companies and partnerships
- International co-operation
Changing regulatory landscape
We will provide an overview (from an offshore perspective) of the themes underlying the current international tax and regulatory initiatives. The initiatives may provide opportunities to those establishing offshore funds. We will look at some of the regulatory and tax arbitrage issues in play.
