Ogier in BVI advises on IPO of Constellation Alpha Capital Corp

Ogier has advised on the $143,750,000 Initial Public Offering of Constellation Alpha Capital Corp (Constellation) on NASDAQ.

Partner Michael Killourhy, of Ogier's BVI corporate team, advised on the launch.

Constellation is a BVI incorporated special purpose acquisition company (SPAC) formed for the purpose of acquiring or merging with, through various means, a to be identified existing business or undertaking. Constellation will focus its search for a target business in the healthcare services and manufacturing industries in India. Constellation is thought to be the first India focused NASDAQ SPAC in the last ten years.

The Constellation IPO marked the third BVI SPAC IPO closing advised on by Ogier in the last 2 months.

Ellenoff Grossman & Schole LLP acted as US counsel to Constellation, while Skadden Arps, Slate, Meagher & From LLP acted for the underwriters.
