Shipping Finance

With many years’ experience advising on offshore structures and complex transactions around the globe on a daily basis, our teams are perfectly suited to the demands of clients in the shipping markets. They value our commercial focus and responsiveness when dealing with transactions in the shipping space.

Our shipping finance team advises financial institutions and private individuals on offshore structures relating to shipping ownership; particularly the use of special purpose vehicles (SPVs).

We work in conjunction with onshore legal counsel, with our cross-practice teams also advising on the use of structures involving the holding of vessels for risk management, asset protection, tax planning and succession planning purposes.

Our track record spans each of our key locations of BVI, Cayman, Guernsey, Hong Kong, Jersey and Luxembourg and includes acting in connection with loan facilities, creating security over vessels, acting in the formation of a shipping fund.

Ogier has extensive experience in providing offshore legal advice to ship owners, banks and joint venture parties who use special purpose vehicles (‘SPV’) as part of their offshore shipping structuring. Our expertise has been developed over a number of years through acting for both vessel owners and financial providers based in the major shipping markets across the globe.

Our global network of offices can provide all necessary offshore legal services in respect of:

Establishing SPVs

Our teams can advise on simple structures using a single SPV or complex groups using multiple SPVs. If required, we can advise on all aspects of ownership of these SPVs, whether they are ultimately held by single owners or as part of a joint venture structure.

Acquisition and sale of vessels

Our teams have experience of advising SPV structures in respect of the acquisition and disposal of vessels as well as in relation to any financing required in order to fund such acquisitions.

Secured financing of vessels

Our teams have advised both lenders and borrowers in respect of all aspects of secured financing of vessels and have extensive experience of security granted by SPV structures in relation to such financings, including the specific security taken in the case of charter vessels.
