Ogier acted for the acquisition arm of a US private equity investment firm on the Jersey aspects of the acquisition by affiliates of two UK based operators of outdoor digital advertising assets whose operations were subsequently merged.
In the Jersey aspects of the transaction Ogier assisted with the creation of the holding structure of the acquisition of both groups, which consisted of a "stack" of Jersey incorporated entities, and assisted with the acquisition of a Jersey company with its shares and debt securities listed on The International Stock Exchange. The Ogier team also assisted with funding pushdowns through the structure of Jersey companies.
