Ogier advises HHG Capital Corporation on US$57.5M SPAC IPO

Ogier acted as BVI legal adviser to HHG Capital Corporation in connection with its initial public offering (IPO) of 5,750,000 units, including the full exercise of the underwriters' over-allotment option.

The units were listed on NASDAQ Capital Market on 21 September 2021 and traded under the ticker symbol HHGC. The offering closed on 23 September 2021.

HHG Capital Corporation is a special purpose acquisition company incorporated in the British Virgin Islands. The company is led by CEO Chee Shiong (Keith) Kok and Shuk Man (Lora) Chan, the company’s CFO, and is sponsored by renowned Singaporean Chinese entrepreneur Hooy Kok Wai.

The Ogier team in Hong Kong was led by managing associate Florence Chan with support from the firm’s global head of Corporate Nathan Powell and paralegal Jenson Ng.
