Nicolas is a counsel in the Luxembourg Banking and Finance team. He specialises in real estate finance, leveraged finance and acquisition finance in the UK, Europe and the USA; his practice includes advising on highly structured, cross-border corporate real estate transactions and has significant experience in investment and development financings for all asset classes, including operational assets, student accommodation, logistics, the private rented sector, hotels and leisure assets, retail schemes, large scale developments and build to rent. He acts for borrowers, financial institutions and all types of lenders and has extensive expertise acting for the alternative lender set including debt funds, overseas banks and insurer lenders.
Nicolas' core practice also includes advising on fund finance; his work includes advising on investor call bridge facilities, equity bridge facilities, hybrid or NAV facilities, "equity commitment" finance structures, leverage and borrowing base facilities, or co-investment facilities.
Nicolas is part of Ogier's multi-disciplinary Restructuring and Corporate Recovery team. He specialises in refinancing, with experience in corporate structuring and reorganisation. His achievements include advising on scheme of arrangements restructuring bond debt and other assets issued or held by Luxembourg entities or guaranteed/secured by Luxembourg entities.
Nicolas is also part of Ogier's multi-disciplinary Private Equity team. He specialises in subscription credit and capital call facilities as well as hybrid and net asset value credit facilities entered into by funds, with experience in advice in connection with guarantees and other indebtedness incurred by funds, including guarantees and credit support offered in support of loans made to portfolio companies. His achievements include working on the US$3,400,000,000 acquisition of a satellite communication company by one of the world's leading private equity investment groups in conjunction with a consortium of other private equity investors.
Before joining Ogier in 2015, Nicolas was head of legal in a Luxembourg fiduciary services company. He has also worked with several top tier international law firms in Luxembourg where he specialized in corporate restructuring and M&A transactions, advising private equity houses, institutional clients, small and medium-size enterprises and high net wealth individuals.
Nicolas holds a French master’s degree in business law (DESS Droit des Affaires).
