Cross-border Ogier team advises global insurance group Howden on US$6.2 billion refinancing and TISE listing

Ogier's Banking and Finance experts in Guernsey and Jersey have advised global insurance intermediary group Howden on its US$6.2 billion refinancing.

Working with lead counsel Weil, Gotshal & Manges LLP, Ogier advised Howden, one of the world's largest privately owned insurance brokers, in connection with its debut offering of US$1 billion 7.250% senior secured notes due 2031 and US$500 million 8.125% senior notes due 2032.

Ogier also advised Howden on matters relating to various term and revolving credit facilities.

Ogier's Listings Services team were also part of the deal, acting for Howden in the listing of the notes on The International Stock Exchange (TISE).

The cross-jurisdictional team was led by partners Paul Chanter, James Lydeard and Bruce MacNeil, assisted by managing associate Matthew Macfarlane, senior associates Jonathan Branch and Sophie Treanor and associates Osahon Omoruyi and Paul Hadden.

Listing specialists Lucy Chambers and Emily Renouf, both Counsel, acted on the TISE notes listing.

Howden is a leading global insurance intermediary group operating in 55 countries across Europe, Africa, Asia, the Middle East, Latin America, the US, Australia and New Zealand, employing 17,000 people and handling US$38 billion of premium on behalf of clients.
