Ogier advises Top KingWin Ltd on its IPO on Nasdaq

Ogier acted as Cayman Islands counsel to Top KingWin Ltd on its initial public offering (IPO) of Class A ordinary shares on The Nasdaq Capital Market.

The Company's Class A ordinary Shares began trading on The Nasdaq Capital Market under the ticker symbol "TCJH" on 18 April 2023. It received total gross proceeds of US$11 million from the IPO before deducting underwriting discounts and other related expenses.

Top KingWin is a provider of capital market related education and support services, as well as advisory and transaction services in China.

Univest Securities, LLC acted as book runner for the IPO. Pacific Century Securities, LLC and AC Sunshine Securities LLC acted as co-managers for the offering. Robinson & Cole LLP acted as U.S. counsel to Top KingWin. Olshan Frome Wolosky LLP acted as U.S. counsel to the underwriters. Jingtian & Gongcheng acted as PRC counsel to Top KingWin.
