Ogier advises A SPAC I on its business combination with NewGenIvf Limited

Ogier in Hong Kong acted as British Virgin Islands and Cayman Islands counsel for A SPAC I Acquisition Corp. on its recent de-SPAC merger with NewGenIvf Limited.

A SPAC I Acquisition Corp. (A SPAC I) is a publicly-traded special purpose acquisition company listed on the Nasdaq, while NewGenIvf Limited (NewGen) is a comprehensive fertility services provider in Asia. The business combination involved statutory mergers in both the British Virgin Islands (BVI) and the Cayman Islands. Ogier led the two mergers concurrently.

The merger completed on 3 April 2024. Shares and warrants of the combined company, "NewGenIvf Group Limited", commenced trading on the Nasdaq on 4 April 2024 (ticker symbols "NIVF" and "NIVFW" respectively).

The Ogier team was led by partner Rachel Huang, with support from the firm's global head of Corporate Nathan Powell, and legal managers Kingston Tang and Chloe Yip. Ogier worked closely with A SPAC I's legal counsel Loeb & Loeb LLP, and NewGen's legal counsel Jun He Law Offices.

Rachel said: "We are delighted to represent our long-standing client in this de-SPAC transaction. The transaction demonstrates Ogier's capability in completing multiple cross-jurisdictional mergers."

Ogier also acted as BVI counsel to A SPAC I on its US$60 million initial public offering on the Nasdaq in 2022.
