We advise issuers, sponsors, underwriters and investors on a full range of capital raising transactions including private placements, initial public offerings (IPOs) and special purposes acquisition companies (SPACs) utilising BVI, Cayman, Guernsey, Irish, Jersey and Luxembourg listing vehicles on major stock exchanges throughout the world including NYSE, Nasdaq, LSE, HKSE, TWSE, LuxSE, CSX and TISE.

With transactions spanning a range of industries and sectors from pharmaceutical and healthcare, mining and manufacturing, to energy, consumer services and media/entertainment industries, Ogier fields a team of specialists able to manage innovative and complex transactions requiring careful synchronisation and management alongside exceptional technical expertise.

We have an extensive bank of knowledge to draw from gained from years of advising a significant percentage of major listings - particularly of BVI SPACs – and continuing to secondary issues, including rights issues, open offers and placings. We also have a strong track record of assisting private equity houses exiting portfolio companies by way of high-profile listings.

Advice and documentation

We work with onshore counsel in relation to the preparation of all legal documentation required for listing, including advising on all local law considerations applicable to the listing of the listing entity on the relevant stock exchange, and on-going local law legal advice to the listing entity. We also advise advise lead managers, issuers, sponsors, underwriters, and selling and acquiring shareholders.

Regulators and registry

Where applicable, liaising with local regulators in connection with any local regulatory consents required for the listing, as well as facilitating all local registry filings.
