Ogier advises leading private equity house on technology acquisition

Ogier's Corporate legal team in Luxembourg advised major European private equity firm Apax Partners on the significant minority stake in technology company IBS Software from Blackstone.

IBS Software is a leading SaaS solutions provider to the travel industry globally, managing mission-critical operations for customers in the aviation, tour and cruise, hospitality, and energy resources industries.

The investment is approximately US$450m.

The Ogier team's role included the establishment of the Luxembourg holding structure and the negotiation and preparation or review of all transaction documents related to the acquisition and its financing from a Luxembourg corporate perspective, up to the completion of the deal.

The team was led by partner Laurent Thailly, assisted by associates Lucie Steinmetz and Elise Berton.
