Ogier assists Crown LNG Holdings AS complete US$685 million business combination

Ogier has advised client Crown LNG Holdings AS on its US$685 million business combination with Catcha Investment Corp and subsequent listing of newly incorporated Jersey entity, Crown LNG Holdings Limited, on Nasdaq. 

Crown LNG Holdings AS is a leading provider of liquified natural gas infrastructure. It operates liquefaction and regasification terminals suitable for use in harsh weather locations. Catcha Investment Corp was a Cayman incorporated special purpose acquisition company (SPAC) which was subsumed into a new Cayman company on merger.

The deal was signed in August 2023 and completed in July 2024.

Ogier acted as Jersey and Cayman Islands counsel to Crown. The transaction involved a Cayman merger and the listing of Crown LNG Holdings Limited, its parent company, on Nasdaq on 9 July 2024. Shares and warrants are trading under ticker symbols CGBS and CGBSW. 

Partners Raulin Amy and Alexander Curry led the Jersey team with support from managing associate Rebekah Agyeman and associate Juliet Karugahe. Partner Cynthia Anandajayasekeram led Ogier's Cayman team with support from associate Thomas Sims.
