Holly Chapman

Holly is a senior associate in Ogier's leading British Virgin Islands transactional team, focusing on corporate, finance and funds matters.

She advises an international client base on complex cross-border transactions and offshore structures involving BVI entities.

Background and experience

Holly has extensive experience in the structuring, establishment and ongoing operation of open-ended and closed-ended BVI investment funds and investment managers. Her funds practice involves advising on licensing, regulatory compliance, governance and operational matters, working closely with clients, service providers and regulators to help navigate the evolving regulatory landscape and support sophisticated investment structures throughout their lifecycle.

Drawing on her strong onshore banking and finance background, Holly also acts for lenders and borrowers on the BVI aspects of high-value, multi-jurisdictional financing transactions. Her work frequently involves collaborating with onshore counsel, stakeholders and service providers to deliver coordinated advice on fast-moving matters.

Holly also manages a broad range of corporate transactions including shareholder arrangements for BVI joint ventures and startup companies, corporate restructurings, mergers and acquisitions. She is valued for her collaborative, commercial approach and her ability to lead complex transactions efficiently.

Before joining Ogier, Holly was a finance lawyer at Addleshaw Goddard and DLA Piper. She qualified in England in 2019 and holds an honours degree in law from the University of York, with a masters in law, business and management from the University of Law.
