新规在很大程度上沿用并厘清现有监管制度,但同时增设全新义务,重点围绕职能外包管理和独立反洗钱审计两大方面。此外,新规将有助于CIMA更有效地执行与反洗钱(AML)、反恐怖主义融资(CFT)、反扩散融资(CPF)及金融制裁相关的重要合规要求。
我们建议金融服务提供商尽快审查并更新其反洗钱合规方案,并与开曼法律顾问及反洗钱服务提供商沟通,以确保符合新规要求。
经过与金融服务业公开咨询后,CIMA发布了两项将于2026年9月18日生效的新规,适用于所有受CIMA监管和监督的开曼金融服务提供商,包括投资基金、基金经理及投资顾问。上述规则不适用于不受CIMA监管监督的主体。
CIMA发布的新规(the Rules,以下简称“《规则》”)如下:
截至目前,适用于金融服务提供商的开曼群岛反洗钱监管体系主要由以下三大支柱构成:
就可执行效力而言,虽然《指引》本身并不具有强制约束力,但法院在判断是否遵守《犯罪所得法》或《反洗钱条例》时,可以将其作为参考依据。换言之,《指引》具有相当程度的说服力和证据效力。
但严格来说,对于金融服务提供商违反或未遵循《指引》的行为,CIMA并不直接拥有执法权力。因此,本次《规则》的出台,旨在将《指引》中与合规方案相关的核心原则纳入CIMA可直接执行的监管文件。
因此,若金融服务提供商违反《规则》,CIMA可依据其《执法手册》(Enforcement Manual)启动处罚程序;更为重要的是,一旦《规则》被纳入《金融管理局(行政罚款)条例》(修订版)附表,CIMA即有权处以行政罚款。
从法律效力层级而言:如《规则》与《指引》存在不一致,应以《规则》为准;如《规则》与《犯罪所得法》、《反洗钱条例》或其他立法(例如《恐怖主义法》(修订版)或各类制裁令)存在冲突,则应以相关成文立法规定为准。
《规则》还明确规定,如某项行为同时违反《反洗钱条例》及《规则》,CIMA在确定罚款金额时将行使自由裁量权,以避免针对同一违规行为出现重复处罚或双重追责。
下文我们总结了《规则》如何在不对现行制度作出重大改变的情况下,实质性反映或厘清现有反洗钱制度三大支柱中的原则。金融服务提供商本已应当大体遵守以下要求:
