Ogier advises Apollo funds on easyJet purchase

Ogier is advising funds managed by Apollo on the Jersey law elements of the recommended cash acquisition of easyJet plc, a leading pan-European low-cost airline, in a transaction valuing the business at approximately £5.7 billion (US$7.7 billion). Ogier is working alongside Paul, Weiss, which is acting as lead legal adviser to the Apollo-managed funds.

Under the terms of the acquisition, easyJet shareholders may elect to receive £7.15 in cash for each share, or to roll their shares into an Apollo entity that will hold their continuing investment in the airline. The cash offer represents an 81% premium to the undisturbed price of easyJet shares in May 2026, and has been unanimously recommended by the easyJet board.
 
Apollo has also secured the support of easyJet's major shareholders, its founder Sir Stelios Haji-Ioannou and his siblings, who have agreed to vote in favour of the acquisition and to roll their shares in order to retain their investment in the business.
 
Completion is expected in the first quarter of 2027, subject to customary conditions and regulatory approvals.
