Ogier advises care home provider on acquisition and development finance deal

Ogier advised Jersey care home provider LV Group on the acquisition of St Joseph's Care Home (formerly the Jeanne Jugan Residence run by the religious order, the Little Sisters of the Poor) and on the related acquisition and development finance deal which also involved the purchase of a care home in the Isle of Man as well as the refinancing of the group's Jersey and Isle of Man operations generally.

LV is a private equity backed group focused on the two islands, with the majority of its premises currently in Jersey. As part of this recent deal, LV has acquired St Joseph's Care Home in St Helier and the King's Reach Care Home in Ramsey, Isle of Man. At the same time, it also undertook a group wide refinancing.

The Ogier team were lead counsel and assisted with all aspects of the transaction, leading negotiations for LV with the other law firms (including Sidley Austin, Carey Olsen, Bedell Cristin and Appleby) representing the various counterparties, including the seller and the lenders. Ogier's involvement showcased its strength in the corporate and financing real estate market and the local legal services market (including local property, employment and regulatory law).

The team comprised of partners Raulin Amy and Jonathan Hughes, counsel Katharine Marshall, managing associate Oliver Richardson, senior associate Kevin Grové and associate Robin Burkill. The transaction was particularly complex given the pre-acquisition structuring required to acquire the Jersey target, the cross border work required in respect of the Isle of Man aspects, and the multi-party, multi-facility lending and security arrangements that were put in place.

"Ogier were the lead commercial and corporate lawyers, involved in all aspects of this complex cross-jurisdiction deal which required close collaboration across the Corporate and Local Legal Services teams, allowing us to demonstrate our expertise and efficiency in providing a seamless service to LV," said Raulin.
