Ogier advises Haymaker Acquisition Corp 4 on US$226 million business combination and Nasdaq listing

Ogier's corporate team in the Cayman Islands has advised Haymaker Acquisition Corp 4, a special purpose acquisition company, on its completed business combination, resulting in the public listing of Suncrete, Inc.  

Following completion of the transaction, the combined company began trading on the Nasdaq Global Market under the ticker RMIX on April 9 2026. The business combination provides approximately US$226 million in gross proceeds from funds held in trust and proceeds from a concurrent PIPE financing. 

Suncrete operates a ready-mix concrete logistics and distribution business within the construction materials sector in the United States.

The team advised on the Cayman Islands law aspects of the transaction and worked closely with onshore counsel DLA Piper.
