Ogier in Guernsey advises SMBC on its facility to Janus Bidco for the take-private of Apax Global Alpha

Ogier's Banking and Finance and Corporate teams have together advised Sumitomo Mitsui Banking Corporation on its term and acquisition facilities provided to Ares-backed Janus Bidco Limited in relation to its take-private acquisition of Apax Global Alpha Limited.

Apax Global Alpha was a London-based Guernsey registered closed-ended investment company, admitted to the Official List and to trading on the London Stock Exchange's Main Market for listed securities, offering exposure to Apax Private Equity funds and direct debt investments. Apax Partners is a private equity advisory firm. Janus Bidco is financed by funds and investors which are either managed or advised by Ares Management LLC, a subsidiary of Los Angeles-based alternative investment manager Ares Management Corp.

The cash acquisition deal was approved by shareholders and court-sanctioned in Guernsey.

Ogier's Banking and Finance team was led by partner Paul Chanter and assisted by managing associate Matthew Macfarlane and associate Tobi Oluborode. The Corporate team was led by partner Bryon Rees with support from counsel James Walsh. Ogier worked with lead counsel Linklaters.
