Ogier’s Hong Kong Corporate team advises Breeze Acquisition Corp. II on its US$140 million IPO

Ogier’s Corporate specialists in Hong Kong have advised Breeze Acquisition Corp II, a SPAC, on its US$140 million Nasdaq IPO.  

Closing on 14 May 2026, the IPO comprised of 12.5 million units priced at US$10.00 per unit, together with a further 1.5 million units issued on 15 May following the partial exercise of the underwriter’s over-allotment option.  

Units are listed on Nasdaq under the ticker symbol BREZU. 

This transaction builds on Ogier’s existing relationship with Breeze and represents the team’s second mandate for the client, following its advice on the merger involving YD Biopharma and Breeze Holdings. 

The Ogier team was led by partner Florence Chan, supported by the firm’s global head of Corporate, Nathan Powell, and counsel Melissa Mak. The team worked closely with onshore counsel ArentFox Schiff LLP.
