Ogier's Hong Kong SPAC experts advise Wintergreen Acquisition Corp. on US$50 million Nasdaq IPO

Ogier in Hong Kong acted as Cayman Islands counsel to Wintergreen Acquisition Corp. on its US$50 million initial public offering on Nasdaq.

Wintergreen Acquisition Corp., a Cayman-incorporated special purpose acquisition company (SPAC), announced the closure of its initial public offering (IPO) on 30 May 2025 under the ticker symbol WTGUU. The IPO of five million units was priced at US$10 per unit, raising gross proceeds of US$50 million.

The Ogier team was led by partner Cecilia Li, with support from the firm's global head of Corporate, Nathan Powell, legal managers Kingston Tang and Jasmine Chan and paralegal Josie Ma. The team worked closely with the company's US counsel, Concord & Sage.

Wintergreen Acquisition Corp. intends to pursue a business combination with targets in the technology, media and telecommunications industries with operations or prospective operations in the Asia Pacific region, including the PRC.
