Ogier’s leading digital asset practice in the British Virgin Islands continues to be at the forefront of high-profile matters in the fintech and crypto asset sector.
As ongoing counsel to the joint liquidators of Three Arrows Capital (3AC), in both contentious and non-contentious matters, Ogier has played a critical role in helping the liquidators navigate the complexities of one of the world’s most significant insolvencies in the digital assets space. Ogier's top-tier BVI disputes practice, led by practice partner, and insolvency and restructuring and fraud and asset tracing specialist, Nicholas Brookes, complemented by our highly regarded transaction digital assets practice (one of the BVI's first), is able to provide a truly holistic approach to this matter.
More recently, Ogier's corporate and digital asset specialists, led by Michael Killourhy, advised 3AC's liquidators in respect of Coinbase Global's acquisition of Deribit, a leading cryptocurrency derivatives exchange, for more than US$ 3 billion. Coinbase is the world's largest publicly traded crypto exchange and the largest US-based crypto exchange by any measure. 3AC was a significant selling stakeholder in the deal by virtue of a substantial managed investment in Deribit. The transaction is the largest ever M&A deal in the digital space to date and comprises $700 million in cash and 11 million shares of Coinbase Class A common stock. It is expected to close by the end of the year, pending regulatory approvals. Our work in connection with the transaction not only highlights Ogier’s expertise in cross-border digital asset work, whether contentious or non-contentious, but also exemplifies our ability to handle strategically important matters involving some of the sector’s most recognised players.
