Stuart is a counsel in Ogier's British Virgin Islands team advising on all aspects of corporate and commercial, regulatory, technology and web3, and investment funds law.

Background and experience

His experience includes advising on fintech, tech and web3 projects, cross-border transactions, mergers and acquisitions, investment funds, ongoing legal and regulatory compliance of regulated and unregulated entities, investment managers, securities and investment business, economic substance issues, banking and trust company regulatory issues, corporate finance transactions, restructurings, and joint ventures.

Stuart's technology and web3 practice includes advising on numerous technology and web3 projects including token offerings, tokenisation of real world assets, stablecoin projects, trading operations, structuring, regulatory analysis, registration under the Virtual Assets Service Providers Act, 2022 and other blockchain, tech and web3 projects.

Stuart's investment funds practice includes advising on the establishment, launch and ongoing maintenance of open-ended and closed-ended investment funds, including the acquisitions and disposals made by such funds. He advises on a wide range of regulatory, structuring, formation, licensing, corporate governance, ongoing operational matters and restructuring.

Stuart has acted for exchanges, token issuers, multi-national corporations, listed entities, management teams, fintech and blockchain founder-led start-ups including clients from both decentralised and traditional finance sectors, funds and fund managers, corporate borrower groups and investors in relation to their investment in to global investment funds.

Before joining Ogier in 2024, Stuart was part of the corporate and regulatory team at another offshore firm based in the British Virgin Islands. Stuart qualified in England in 2014 where he practiced at Charles Russell Speechlys LLP (formerly Charles Russell LLP) and Clyde & Co. Stuart is a graduate of the University of Exeter where he studied Economics.
