终止开曼群岛实体：主要方案选择及年末时间安排

随着2025年年末临近，希望终止开曼实体、减少或避免2026年度义务的客户应立即采取行动。

自愿清盘与注销

自愿清盘（Voluntary liquidation）

对于开展过交易活动或与第三方存在合同关系的实体，由于自愿清盘能够确保其解散彻底完成，我们建议选择此途径。

时间安排：一旦准备好任命自愿清盘人，整个过程通常将持续六周左右。公司的有效解散在三个月后发生，而合伙企业的解散则会立即发生。

建议：若不存在剩余资产、负债或未解决事项，为最大程度减少2026年度的费用义务，我们建议客户在2025年11月14日前任命一名清盘人。

注销（Strike-off）

对于没有交易历史的休眠实体、投资者或第三方服务提供商而言，注销是更具成本效益的选择。该方案的主要风险在于注销在长达10年的时间内可被撤销，可能将使实体的董事承担个人责任。

时间安排：申请将按季度处理，提交截止日期提前8周左右。

建议：若要使实体的注销日期在2025年12月31日生效，客户需在2025年10月20日前提交申请。为了最大程度减少2026年度的义务，需在2025年12月31日前提交申请。
