Ogier advises AlphaVest Acquisition Corp on business combination with AMC Corporation

Ogier's Corporate team in Hong Kong has advised AlphaVest Acquisition Corp on its business combination with AMC Corporation, a security and safety technology solutions company that designs, develops and distributes smart enterprise and consumer safety and security products.

AlphaVest was a Nasdaq-listed special purpose acquisition company (SPAC) incorporated in the Cayman Islands. The transactions involved the transfer of AlphaVest by way of continuation from the Cayman Islands to Delaware.

The new company was renamed AMC Robotics Corporation (the New Pubco). The transactions also involved a merger, following which, AMC Corporation became a wholly owned subsidiary of the New Pubco. The business combination closed on 9 December 2025 and AMC Robotics Corporation's common shares started trading on Nasdaq Capital Market under the ticker symbol AMCI on 10 December 2025.
