Ogier advises Columbus Circle Capital Corp I on business combination with ProCap BTC

Ogier's Corporate team in the Cayman Islands has advised its existing client Columbus Circle Capital Corp I on a business combination with ProCap BTC.

Columbus Circle Capital Corp I (Columbus Circle) is a Cayman-based special purpose acquisition company (SPAC), led by Gary Quin. ProCap BTC is a bitcoin-focused financial services company, led by Anthony Pompliano. Procap BTC has raised $750 million from investors, including in the business combination with Columbus Circle.
 
The deal closed on 5 December 2025. Following the transaction, the new public company is called ProCap Financial, Inc and its common stock has begun trading on the Nasdaq Global Market under the symbol BRR.
 
Acting alongside Ellenoff Grossman & Schole LLP, Ogier provided Cayman legal counsel to Columbus Circle. The team was led by Natalie Bell with support from Bradley Kruger, who is head of Ogier's Cayman corporate team, senior associate Ali Pasley and associate Wray Sulisz.
 
Ogier also advised Columbus Circle Capital Corp I on its upsized US$250 million initial public offering on Nasdaq earlier this year.
