Ogier advises GOWell Technology Limited on business combination with Inflection Point Acquisition Corp. V

Ogier's Corporate team in the Cayman Islands has advised GOWell Technology Limited, a provider of technology solutions to the energy sector, on the successful completion of its business combination with Inflection Point Acquisition Corp. V, a special purpose acquisition company.

The new combined business, operating as GOWell Energy Technology, became a publicly listed company following the de-SPAC transaction. Its ordinary shares commenced trading on Nasdaq under the ticker symbol GOW on 28 September.

The business combination was accompanied by US$70 million of PIPE and private placement financing to support the continued development of GOWell's technologies, which serve both traditional energy markets and the energy transition sector. The transaction also provides the company with access to the US public markets as it continues to expand its business internationally.

The Ogier team acted as Cayman Islands counsel to GOWell and was led by partner Bradley Kruger, with support from managing associate Laura O'Byrne and associate Scott Parmenter.
