Ogier advises longstanding client Zeekr on its going-private transaction

Ogier’s Corporate and Dispute Resolution teams in Hong Kong acted as Cayman Islands counsel to the Special Committee of the board of directors of Zeekr Intelligent Technology Holding Limited in connection with its going-private transaction.

Zeekr Intelligent Technology Holding Limited (Zeekr) is a leading global smart electric mobility technology company headquartered in Zhejiang, China.

On 15 July 2025, Zeekr entered into an Agreement and Plan of Merger (the Merger Agreement) with Geely Automobile Holdings Limited (Geely) and an indirect wholly owned subsidiary of Geely (the Merger Sub).

On 22 December 2025, in accordance with the Merger Agreement and subject to its terms and conditions, Merger Sub effectively merged with and into Zeekr, with Zeekr continuing as the surviving entity and becoming a wholly owned subsidiary of Geely by way of Cayman statutory merger. The transaction is unique in that it utilised section 239 of the Companies Act (2025 Revision) (the Act) which disapplies section 238 of the Act, and most of the shareholders were given the option to choose between receiving cash or shares in Geely as their merger consideration.   

Ogier advised the Special Committee on all aspects of Cayman Islands law relating to this privatisation transaction, working alongside Simpson Thacher & Bartlett LLP, the Special Committee’s US legal counsel, and Kroll, LLC (operating through its Duff & Phelps Opinions Practice), the Special Committee’s financial advisor.

The Corporate team was led by partner Rachel Huang, with support from the firm's global head of Corporate, Nathan Powell, senior legal manager Shirley Mak and legal managers Em Lou and Chloe Yip. The Dispute Resolution team was led by partner Joanne Collett with support from associate Nicholas Tam.

In 2024, Ogier’s Corporate team advised Zeekr on its US$441 million NYSE initial public offering, which at that time was the biggest Chinese stock offering in the US in the past three years. The landmark deal was shortlisted for the Asia Legal Awards 2025 in the Securities Deal of the Year: Equity category.
