Ogier advises on Baltic advertising group acquisition

Ogier has advised one of the world's leading private equity investment groups, investing in companies across different global sectors, on the Euro 380 million purchase of a group with a portfolio of leading online classified advertising platforms.

The stake in the advertising group, which specialises in automotive, real estate, jobs, generalist and e-commerce classifieds, has been acquired from a Baltic-based media business.

Ogier advised on both the corporate and finance parts of the transaction and the work included the establishment of six Luxembourg SPVs and the preparation/negotiation of all corporate set-up and transactional documents.

A management investment plan was also put in place and Ogier advised on its Luxembourg aspects. Ogier also assisted on the bank financing aspects of the transactions on the borrower's side.

This recent multimillion transaction also demonstrates the variety and dynamics of TMT deals, in which Ogier is regularly involved. The Ogier team was led by Laurent Thailly, assisted by Hélène Arvis, Nicolas Mille, Sandra Mohand Oussaid and Caleb Holder.
