Ogier advises Perceptive Capital Solutions Corp on US$1.1 billion business combination with Freenome

Ogier's Cayman Islands Corporate team has advised Perceptive Capital Solutions Corp on its business combination with Freenome Holdings, an early cancer detection company developing blood-based screening tests.

Perceptive Capital Solutions Corp is a Cayman incorporated special purpose acquisition company (SPAC), sponsored by an affiliate of New York-based investment firm Perceptive Advisors.

On closing, the combined company will redomicile as a Delaware corporation and be renamed Freenome, Inc. Its common stock is expected to be listed on Nasdaq under the ticker symbol FRNM. The combined company is expected to have a post-transaction equity value of approximately US$1.1 billion at closing.
