SPACs are publicly-traded investment vehicles that raise funds via an IPO to complete a targeted acquisition - a “business combination” - within a limited time frame (18-24 months).

Improved market conditions for fund raising in equity capital markets in recent years, combined with the liquidity offered by SPACs – both in terms of the "money back" feature of SPACs that do not achieve a business combination by their deadline, and because listed shares can be freely traded – have led to a resurgence which Ogier's Corporate team has managed across BVI, Cayman, Guernsey and Jersey.

DT Asia Investments Limited, which became the first US-listed Chinese finance business following its acquisition of China Direct Lending (which Ogier also advised)

$143,750,000 ARYA Sciences Acquisition Corp. IPO listed on the NASDAQ Capital Market

Ogier acted on the $50 million OPI on the NASDAQ Capital Market of Pacific Special Acquisition Corp. and then later acted as counsel to Pacific on its merger with Borqs International Holding Company, a major player in the Internet-of-Things and smart devices sector

NASDAQ listed National Energy Services Reunited Corp. on its $1.1 billion acquisition of Gulf Energy SAOC and National Petroleum Services, as well as its $210 million Initial IPO on NASDAQ

Bison Capital Acquisition Corp. on its $52.5 million IPO on NASDAQ

Greenland Acquisition Corp. and Longevity Acquisition Corp., both SPACs, on their establishment and IPOs on NASDAQ

The $200 million IPO on the NASDAQ Capital Market of Electrum Special Acquisition Corp.

The $143,750,000 Initial Public Offering of Constellation Alpha Capital Corp. on NASDAQ
