Ogier advises Gresham House on Jersey feeder vehicle to support £375 million forestry fundraise

Ogier's Investment Funds team has advised Gresham House on the establishment of a feeder vehicle structured as a Jersey limited liability partnership with a Jersey company acting as its managing member.

Gresham House is a London-based specialist alternative asset manager focused on sustainable real asset investment including forestry, natural capital, energy transition, sustainable infrastructure and housing.

The feeder vehicle is called Gresham House FFVI Feeder (Jersey) LLP and supports its £375 million fundraise, believed to be the largest forestry fundraise in the UK to date. It is backed by a Japanese investor and feeds into Gresham House Forest Fund VI LP, a private fund limited partnership registered in Scotland.

Ogier's corporate and fiduciary business, Ogier Global, is acting as administrator to Gresham House.

Ogier's Investment Funds team in Jersey assisted with reviewing and preparing the legal documentation and providing Jersey legal and regulatory advice, including in relation to the conduct of financial service business and Jersey's funds and anti-money laundering (AML) regimes. The legal team also worked closely with Ogier Global on the regulatory filings and assistance with closing.

The team was led by partners Sophie Reguengo and Niamh Lalor, with assistance from senior associate Ryan Ripamonti.
