Ogier advises on Borr Drilling's US$1.7 billion high yield offering and super senior revolving credit facility

Cayman Islands

Ogier acted as Cayman Islands legal counsel to the initial purchasers and lenders in connection with the offering by subsidiaries of Borr Drilling Limited of US$1,540 million in aggregate principal amount of senior secured notes, as well as Borr's separate US$180 million super senior revolving credit facility.

Borr Drilling (Borr), a NYSE and Oslo Stock Exchange-listed company, is an international shallow-water drilling contractor. It provides worldwide offshore drilling services to the oil and gas exploration and production industry through the ownership and operation of jack-up rigs of modern and high-specification, the provision of related equipment and work crews to conduct oil and gas drilling and workover operations.

The Ogier team acting for the initial purchasers under the issue of the notes was led by partner Bradley Kruger. The Ogier team acting for the lenders under the super senior revolving credit facility was led by partner James Heinicke. Both teams were supported by managing associate Tom McLaughlin and associates Jasjit Grewal and Thomas Sims.

Bradley said: "We are delighted to have assisted our clients on this transaction, drawing on the expertise from across our Corporate and Banking and Finance teams. This provides another example of Ogier's ability to act on all types of high-profile and fast-moving transactions across the capital markets."
