From debt and other security instrument listings to restructuring and insolvency, drawing on the complementary disciplines of our banking, structured finance, investment funds, corporate and dispute resolution teams to provide a fast and efficient service. Ogier’s specialist teams offer exceptional levels of expertise to issuers listing on The International Stock Exchange (TISE, formerly known as The Channel Islands Securities Exchange or CISE) and the Cayman Islands Stock Exchange (CSX). Our corporate administration business, Ogier Global, works closely with Ogier to support clients with the formation and administration of asset finance vehicles, public and private debt issuers (including Islamic finance structures) and securitisation vehicles. Our presence in all major time zones, ensures that complex transactions can be effected within the tightest of deadlines.


Advice and documentation

Advice and documentation in all aspects of bank financing including secured, unsecured, bilateral, syndicated and structured loans, both domestic and multi-jurisdictional, as well as acquisition, asset and hedge-fund financing, hedge fund, private equity and other investment vehicle financing. Review and drafting of banking documentation including standard banking documents, lending and security documents and opinions.

Banking legal advice

Advice on the establishment, sale, acquisition, licencing and operation of banking and other financial institutions in the BVI, the Cayman Islands, Guernsey, Ireland, Jersey and Luxembourg. General banking legal advice, including data protection, confidentiality, regulatory and compliance advice. Advice on bank re-organisations, mergers and re-domiciliations,restructuring and insolvency and enforcement matters.

Financing structures

Advice on financing structures involving entities established in the BVI, the Cayman Islands, Jersey, Ireland, Guernsey and Luxembourg (including asset finance, structured finance, securitisation vehicles and real property holding structures).

Financing transactions

Financing transactions documented through the International Swaps and Derivatives Association and other market-standard documentation. Ogier is counsel to the International Swaps and Derivatives Association (ISDA) in Jersey and Guernsey, and International Capital Markets Association (ICMA) and the Securities Lending and Repo Committee (SLRC) counsel in Jersey, offering specialist advice on derivatives in those jurisdictions and the others in which we operate.


In addition to specialist advice on regulation and documentation, we have a listings team dealing with the listing of debt and other securities on the Cayman Islands Stock Exchange (CSX) and The International Stock Exchange (TISE, formerly known as The Channel Islands Securities Exchange or CISE).

Restructuring and Corporate Recovery

Our Restructuring and Corporate Recovery team covers multiple jurisdictions and includes lawyers who specialise in a range of legal disciplines including corporate, finance, litigation and arbitration.

We advise banks, financial intermediaries and corporates, and have extensive cross-border and international experience advising on contentious and non-contentious offshore restructuring and insolvency matters. We often advise in conjunction with onshore counsel and other professional services providers in connection with company structures.
