  • A multi-disciplinary team in Jersey advised MAC Copper Limited on its US$1.03 billion acquisition by a company within the Harmony Gold Group, implemented by a Jersey scheme of arrangement
  • Our Hong Kong team acted as BVI counsel to leading PRC-based and HKEX-listed ADICON Holdings Limited, an independent clinical laboratory service provider, on the acquisition of Yuande Weikang and Yuande Youqin
  • Our Cayman team acted as lead counsel to Cayman National Corporation Ltd (CNC), the immediate parent company of Cayman National Bank, on its response to the recent offer to acquire its outstanding shares by Republic Financial Holdings Limited in another landmark M&A transaction under the CSX Takeovers Code

  • Our BVI team advised CTRL Group Limited, a Hong Kong-based integrated marketing and advertising service specialising in mobile games promotion, on its Nasdaq IPO 
  • Our Hong Kong team acted as Cayman Islands counsel to Guming Holdings Limited, a leading and rapidly expanding PRC-based bubble tea producer, on its initial public offering and listing on the Main Board of the Hong Kong Stock Exchange and the international offering in reliance on Regulation S
  • Our BVI in Europe team advised New Century Logistics (BVI) Limited on its initial public offering on Nasdaq 
  • Our Cayman team advised Empro Group Inc., a rising beauty and personal care brand headquartered in Malaysia, on its initial public offering on Nasdaq
  • Our Hong Kong team acted as Cayman Islands counsel to Singapore-based Platinum Analytics Cayman Limited in its successful initial public offering on Nasdaq

  • Our Cayman and Hong Kong teams advised Globalink Investment Inc, a Delaware SPAC, and Malaysia-based biotechnology company Alps Life Sciences Inc on their business combination with an estimated enterprise value of US$1.6 billion
  • Our Cayman team is advising Churchill Capital Corp X on its US$1.8 billion business combination with Infleqtion, a global leader in neutral atom-based quantum technology
  • Our Hong Kong team acted as Cayman Islands counsel to JVSPAC Acquisition Corp in its landmark US$2.3 billion de-SPAC merger with the first Filipino-owned company ever to be listed and traded on Nasdaq, Hotel101 Global Holdings Corp
  • Our Cayman team is advising Perceptive Capital Solutions Corp on its US$1.1 billion business combination with Freenome Holdings, an early cancer detection company developing blood-based screening tests
  • Our Hong Kong team advised AlphaVest Acquisition Corp on its business combination with AMC Corporation, a security and safety technology solutions company

  • Our Jersey and Guernsey teams advised Warburg Pincus on its strategic investment in Aztec Group 
  • Our Luxembourg team advised Apax Partners LLP on its acquisition of AtHomeGroup, the operator of Luxembourg’s leading property and automotive marketplaces
  • Our Jersey and Guernsey teams advised long-standing client Cinven on its majority investment in Grant Thornton UK, which marked the largest private equity transaction to date in the UK accounting sector
  • Our Guernsey team advised Honeywell (Nasdaq: HON) on its US$2.16 billion all-cash acquisition of Sundyne from private equity firm Warburg Pincus
  • Our Jersey and Cayman teams advised the Ardonagh Group on its agreement for an equity investment from funds managed by Stone Point Capital LLC, valuing Ardonagh at US$14 billion
  • Our Guernsey team advised MidEuropa on the sale of leading European ophthalmology platform Optegra to EssilorLuxottica

  • Our BVI team advised the joint liquidators of Three Arrows Capital in respect of Coinbase Global's acquisition of Deribit, a leading cryptocurrency derivatives exchange, for more than US$3 billion
  • Our Luxembourg team advised The Blockchain Group, a French listed company specialised in blockchain technology and deeptech related services, on a pioneering private placement issuance of convertible bonds by its Luxembourg subsidiary, The Blockchain Group Luxembourg S.A.
  • Our Hong Kong and BVI teams advised Liquidity Technology Limited, a leading digital asset prime broker in Asia on the first successful dual licensing application as a virtual asset service provider under the Virtual Assets Service Providers Act and an investment business (dealing in investments) under the Securities and Investment Business Act
  • Our Hong Kong team advised stablecoin-based payments firm RedotPay on its US$47 million strategic investment round, which elevated the company to fintech unicorn status
  • Our BVI team in Europe advised Cathexis Holdings on its successful sale of Yondr Group to DigitalBridge and La Caisse for US$5.8 billion
